GLOBAL HEMP GROUP ANNOUNCES DEBT SETTLEMENT

Vancouver, BC -- (August 11, 2023) -- GLOBAL HEMP GROUP INC. (“GHG” or the “Company”) (CSE: GHG / OTC: GBHPF / FRANKFURT: GHG) announces that it intends to issue 4,000,000 common shares (the “Common Shares”) at a deemed price of $0.05 per Common Share, per the minimum price allowed pursuant to CSE policies to settle accrued executive consulting fees due to Mr. Stephen Barnhill, Jr. the current director and ex-CEO of the Company. The value of the issuance is $200,000.

This issuance is a “related party transaction” as defined under Multilateral Instrument 61-101 Protection of Minority Security Holders in Special Transactions (“MI 61-101”), as Stephen Barnhill Jr. is a director of the Company. However, such participation would be exempt from the formal valuation and minority shareholder approval requirements of MI 61-101 as the fair market value and the consideration for the issuance, would not exceed 25% of the Company’s market capitalization. The Company did not file a material change report in respect of the related party transaction at least 21 days prior to the closing of the issuance, which the Company deems reasonable in the circumstances to close the issuance in an expeditious manner.

All securities issued and issuable in connection with this debt settlement are subject to a statutory hold period of four (4) months and one (1) day.

The offered Common Shares have not been, nor will they be, registered under the United States Securities Act of 1933, as amended (the “Securities Act”) or any state securities laws and may not be offered or sold to, or for the account or benefit of, any person in the United States or any "U.S person", as such term is defined in Regulation S under the Securities Act, absent registration or an applicable exemption from registration requirements.  Offers and sales in the United States will be limited to institutional accredited investors and qualified institutional buyers.  This press release shall not constitute an offer to sell or the solicitation of an offer to buy nor shall there be any sale of the securities in any state in which such offer, solicitation or sale would be unlawful.
